This terms of use statement (the “Terms of Use” or the “Terms”) applies only to the website at www.overcomingobstacles.org. This site is owned and operated by the Community for Education Foundation, Inc. (DBA Overcoming Obstacles).

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE COMMUNITY FOR EDUCATION FOUNDATION/OVERCOMING OBSTACLES WEBSITE (WWW.OVERCOMINGOBSTACLES.ORG) (THE “SITE” OR THE “OVERCOMING OBSTACLES WEBSITE”). By accessing and using this Site or by clicking a box that states that you accept or agree to these Terms, you represent that you have read, understood, accept and agree to be bound by these Terms. If you do not understand these Terms, do not agree to be bound by these Terms, or not legally qualified to enter into contracts, you are not authorized to use the Site and must leave the Site.

Changes and Updates

Community for Education Foundation (CEF) reserves the right to change the terms and conditions under which this site is offered by modifying, adding, or removing any portion of these terms of use. Changes in these terms of use will be effective immediately upon posting. For any material changes to these Terms, CEF will take reasonable steps to notify you of such changes, including, but not limited to, by posting a notice of changes on the site. Your continued use of the Overcoming Obstacles website after any changes to these terms of use are posted constitutes your acceptance of these changes. The effective date, posted at the bottom of this page, indicates when the latest changes were made to these Terms.

CEF may terminate, change, suspend, or discontinue any aspect of the Overcoming Obstacles website, including the availability of any features of the site, at any time. CEF may also impose limits on certain features and services or restrict your access to parts of or the entire site without notice or liability.

Copyright and Trademarks

All content contained on the Overcoming Obstacles website (such as text, graphics, logos, button icons, images, and software), is the property of Community for Education Foundation or its content suppliers and is protected by United States and international copyright, trademark, or other laws. The content on this site is provided solely for your information and educational use. With respect to any material available on the Overcoming Obstacles website, permission is granted to temporarily download one copy of the materials (information or software) on the Overcoming Obstacles website for personal, non-commercial transitory viewing only. (Please note that separate and additional terms and conditions apply to the material on the Overcoming Obstacles website identified and defined below as the Curriculum.)

This is the grant of a license, not a transfer of title, and under this license you may not:

  1. modify or copy the materials;
  2. use the materials for any commercial purpose, or for any public display or performance (commercial or non-commercial);
  3. attempt to decompile or reverse engineer any software contained on Community for Education Foundation's website;
  4. remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or "mirror" the materials on any other server.
  5. Please note that this license shall automatically terminate if you violate any of the above restrictions and may be terminated by Community for Education Foundation at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

Overcoming Obstacles, the Overcoming Obstacles design logo, and other marks that may appear on this site are trademarks or registered trademarks of Community for Education Foundation, Inc. (DBA Overcoming Obstacles). You may not copy, reproduce, republish, distribute, transmit, modify, or use the trademarks in any manner. All other registered trademarks or trademarks that appear on this site are the property of their respective owners.

CURRICULUM LICENSE

CEF is the developer and owner of certain proprietary copyrighted works known as the Overcoming Obstacles Life Skills Education Program, consisting of curricula, lessons, activity sheets, pacing plans, handbooks, Snapshots, and related documents and materials, whether in English or any other language (collectively, the “Curriculum”). Access to the Curriculum is limited to users who agree to use the Curriculum in accordance with the Terms of Use and register for a free account on the Overcoming Obstacles website (“Registered Curriculum Users”). All information that you provide to register for a free account must be accurate, current, and complete. You may create only one user account.

CEF hereby grants to Registered Curriculum Users a freely revocable, worldwide, royalty-free, non-transferable, non-assignable, non-exclusive license to use the Curriculum solely for non-commercial, educational purposes and solely in compliance with the Terms of Use (the “Curriculum License”). The Curriculum License permits a Registered Curriculum User to: (a) reproduce and distribute physical copies of activity sheets [to students], so long as such copies contain the Overcoming Obstacles logo and copyright notice; and (b) download a copy of the Curriculum and print pages from the Curriculum solely for the personal use of the Registered Curriculum User. A Registered Curriculum User shall not otherwise reproduce, store in a retrieval system, distribute, or transmit, in any form or by any means (including, without limitation, photocopying, recording, or any other electronic or mechanical means or otherwise) any part of the Curriculum. Any use of the Curriculum other than as explicitly permitted herein requires CEF’s prior written permission, which CEF may grant or withhold in its discretion.

For the avoidance of doubt, a Registered Curriculum User: (i) shall not charge a fee for teaching or presenting the Curriculum to anyone; (ii) shall not sell the Curriculum, or any part thereof, to anyone, directly or indirectly; (iii) shall not modify or create a derivative work of any part of the Curriculum; and (iv) shall not provide a printed copy or copies of the Curriculum, or any part thereof (including, without limitation, student activity sheets) to any individual who is responsible for, or interested in, presenting the Curriculum and shall, instead, instruct any such possible presenter to register for a free account on www.overcomingobstacles.org.

CEF is granting to each Registered Curriculum User solely a non-exclusive license as set forth herein. No Registered Curriculum User is receiving any ownership interest in the Curriculum, which is and shall remain exclusively owned by CEF. CEF presently owns and will continue to own all right, title, and interest in and to the Curriculum, including, without limitation, all copyrights, patents, trademarks, service marks, trade names, logos, and all other proprietary rights.

Registered Curriculum Users shall attribute ownership of the Curriculum to CEF and shall retain and not alter any copyright notices, trademark registration notices, trademarks, service marks, trade names, and logos contained in the Curriculum. Registered Curriculum Users shall inform students and other persons to whom they present any part of the Curriculum that the Curriculum is a part of the Overcoming Obstacles Life Skills Education Program, that CEF developed the Curriculum, and that it is available for download for free on www.overcomingobstacles.org.

Registered Curriculum Users acknowledge and agree that all presentation, delivery, instruction, or use of the Curriculum shall conform to the highest standards of quality, expectation, policy, and performance as defined by CEF.

CEF may revoke permission to use the Curriculum at any time and for any reason without prior notice. The Curriculum License shall automatically terminate if you violate any provision of the Terms of Use. Upon the termination of the Curriculum License, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

The Curriculum License may not be assigned, by operation of law or otherwise, without CEF’s prior written permission, which CEF may grant or withhold in its discretion.

Printed copies of the Curriculum, or some parts thereof, are available for purchase at cost. Please refer to the FAQ section on the Overcoming Obstacles site for more information.

Disclaimer of Warranties

This site and the content on it are provided "as is." CEF disclaims all warranties, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CEF makes no representations or warranties about the accuracy or timeliness of the information contained on this site, and you should confirm any information presented in this site before relying on it in any way.

Limitation of Liability

In no event will CEF be liable to you for any direct, incidental, consequential, indirect, special, or punitive damages resulting from your use or inability to use this site, even if CEF has been advised of the possibility of such damages. This limitation will apply to damages from any cause of action, including, but not limited to, tort, contract, strict liability, or otherwise. In no event will CEF's liability to you for any cause of action exceed the amount paid by you, if any, for accessing this site. CEF does not warrant that the functions contained in this site will be uninterrupted or error-free, that defects will be corrected, or that this site or the servers that host this site will be free of viruses or other harmful components.

Comments and Communications

Visitors may, from time to time, be given the opportunity to post suggestions, ideas, comments, testimonials, questions, or other information on the Overcoming Obstacles website. It is the responsibility of the individual providing such content to ensure that no portion of the content is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or otherwise injurious to third parties. CEF reserves the right to remove any offending content at its sole discretion.

CEF will have no obligation of any kind with respect to any information that you provide via this site and will be free to reproduce, use, disclose, and distribute the information to others without limitation. CEF will be free to use any ideas, concepts, know-how, or techniques contained in such information for any purpose whatsoever.

CEF does not endorse, monitor, make any representation with respect to, or assume any liability for any third-party sites, including, without limitation, any products or services that are advertised or made available for purchase through such sites.

Indemnification

You agree to defend, indemnify, and hold CEF and any of its officers, directors, employees, agents, and affiliates harmless from and against any and all claims, actions, liabilities, costs, or damages (including reasonable attorneys' fees) asserted by any third party arising from or related to your use of this site or conduct in connection therewith.

Severability

Should any part or portion of this agreement be found or held to be invalid or unenforceable, then the meaning of said provision will be construed, to the extent feasible, so as to render the provision enforceable. If no feasible interpretation would save such provision, it will be severed from the remainder of this agreement, which will remain in full force and effect unless CEF's obligations hereunder are materially impaired.

Copyright or Intellectual Property Infringement

CEF respects the intellectual property of others, and we ask our users to do the same. CEF may, in appropriate circumstances and at its discretion, disable or terminate the accounts of users who may be repeat infringers. Governing Law
